Purpose

ForProfit.io is a subscription software service that uses automated and AI-assisted processing to convert uploaded bank statements into Profit & Loss reports and related financial summaries for business owners and bookkeepers. It is a self-service software tool and does not provide professional accounting, tax, bookkeeping, or financial advice.

Definitions

"ForProfit" means ForProfit LLC, a Delaware limited liability company, the owner and operator of the Website.

"Website" means the website located at forprofit.io and the ForProfit service.

"Content"means all material on the Website in any form — including data, designs, text, images, graphics, logos, and code — that we provide as part of the Website. Content does not include the financial data and files you upload, which you own (see "Your Data," below).

"Services" means any products or services provided by or through ForProfit.

"Submission" means any feedback, suggestion, idea, or comment you send to us about the Website or Services. A Submission does notinclude your uploaded bank statements, financial data, or the reports generated for you (which are "Your Data").

"User" means any person or entity who accesses the Website. As a User, you are subject to these Terms and our Privacy Policy and agree to abide by them.

Usage and Access

General Use

We grant you a limited, non-exclusive, non-transferable license to access and use the Website for your own business and personal use, consistent with these Terms and the intended purpose of the Website.

The Website and Services are not intended for children under 13, who may not use or submit information to the Website. Individuals 13 to 17 may use the Website only under the supervision of a parent or legal guardian who agrees to be bound by these Terms.

Restrictions on Use

Any unauthorized use terminates the license granted to you. Except as permitted by these Terms or the Website itself, you may not:

• use the Website for any purpose prohibited by these Terms or applicable law;
• copy, excerpt, scrape, data-mine, or create derivative works from the Website using robots, spiders, or similar tools;
• interfere with or attempt to penetrate or disrupt the Website, its servers, or networks (including via bots, malware, viruses, or attacks);
• circumvent any security or access-control technology;
• engage in any pyramid, network-marketing, or similar scheme;
• impersonate any person or entity or misrepresent your affiliation;
• upload another party's financial data or personal information without proper authorization; or
• advocate or engage in illegal activity or violate any applicable law.

Termination of Access

Use of the Website is not a legal right. We reserve the right to suspend or terminate your access to the Website and Services at any time, for any reason or no reason, in our sole discretion, including for violation of these Terms or non-payment.

Your Data

You retain full ownership of the bank statements and financial data you upload and the reports generated for you ("Your Data"). You grant ForProfit a limited license to process Your Data solely to provide the Services to you — including transmitting statement contents to our third-party processing providers as described in the Privacy Policy. We do not claim ownership of Your Data, and we do not sell it. Our handling of Your Data is governed by our Privacy Policy.

You are responsible for ensuring you have the right to upload any data you provide, including, where applicable, the financial data of clients or other third parties. If you upload third-party data (for example, as a bookkeeper using the Service for your clients), you represent that you have the authority to do so and act as the controller of that data.

Subscriptions, Billing, and Cancellation

Plans and fees. ForProfit offers a free tier and paid subscription plans. Current pricing and plan features are described on the Website and may be changed with reasonable notice (at least 30 days for existing subscribers).

Auto-renewal. Paid subscriptions are billed in advance and automatically renew for successive periods (e.g., monthly) at the then-current price until you cancel. By subscribing, you authorize us (through our payment processor) to charge your payment method on each renewal date until you cancel. You may cancel at any time as described below to avoid future charges.

Payment. Payments are processed by our third-party payment processor. You are responsible for providing a valid payment method and for all charges incurred under your account.

Cancellation.You may cancel your subscription at any time from your dashboard. When you cancel, you retain access to your paid features until the end of your current billing period, after which your account is downgraded to the free tier. Your data is retained after downgrade (see "Your Data" and the Privacy Policy); you may resubscribe at any time, or permanently delete your account and data from your dashboard.

Refunds. Subscription fees are generally non-refundable, including for partial billing periods. If you experience a problem with the Service, contact us at support@forprofit.io and we will work with you in good faith to resolve it; any refund is provided at our discretion. One-time purchases, including Expert Review purchases, are non-refundable except as required by law.

Information You Provide; Submissions

If you provide personal information through the Website, it is used as described in our Privacy Policy. To facilitate communication, the Website allows you to contact us. While we use the security measures described in our Privacy Policy, no data transmitted over the Internet can be guaranteed completely secure. You agree to release us from liability for any loss arising from unauthorized third-party access to information you transmit by email, and you agree not to send sensitive information by email; if you need to transmit sensitive information, contact us to arrange a secure method.

Any Submission (feedback, suggestion, idea, or comment about the Website or Services — but not Your Data) is deemed non-confidential. By sending us a Submission, you grant us an irrevocable, worldwide, royalty-free license to use, modify, reproduce, and incorporate the Submission for any purpose, including improving our products and services, with no compensation to you. This license applies only to Submissions and does not apply to Your Data.

Please do not send us confidential or proprietary information or trade secrets through the Website; such information is not protected by any confidentiality agreement, and you do so at your own risk.

Intellectual Property

ForProfit owns all intellectual property rights in the ForProfit brand and Content, including copyrights, trademarks, trade dress, logos, and the software, text, and graphics of the Website (the "Intellectual Property"). All other intellectual property is the property of its respective owner. Your use of the Website grants you no rights in the Intellectual Property except as expressly provided. You may not display, copy, modify, create derivative works of, sell, or distribute the Intellectual Property except as permitted by these Terms.

Copyright and Trademark Infringement (DMCA)

We respect the intellectual property of others and may suspend or terminate Users who infringe. We respond to claims of infringement under applicable law, including the Digital Millennium Copyright Act (DMCA), 17 U.S.C. § 512.

To report claimed infringement, send our designated agent: (1) a signature of a person authorized to act for the rights owner; (2) identification of the copyrighted/trademarked work; (3) identification of the allegedly infringing material and its location; (4) your contact information; (5) a statement of good-faith belief that the use is not authorized; and (6) a statement, under penalty of perjury, that the information is accurate and you are authorized to act.

Knowing material misrepresentation of infringement (or of mistaken removal) may result in liability under Section 512(f). Upon a valid notice, our policy is to remove or disable the material, notify the affected User, and terminate repeat infringers' access. A User may submit a counter-notice meeting the requirements of 17 U.S.C. § 512(g)(3) to our designated agent.

Disclaimers and Limitations

Your agreement to the following disclaimers and limitations is a material inducement for us to permit you to access the Website and Services.

Accuracy of AI-Generated Output — Your Responsibility to Verify

THE SERVICE USES AUTOMATED AND AI-ASSISTED PROCESSING TO EXTRACT AND CATEGORIZE TRANSACTIONS FROM YOUR BANK STATEMENTS AND TO GENERATE FINANCIAL REPORTS. THIS PROCESSING MAY CONTAIN ERRORS, INCLUDING MISREAD AMOUNTS, MISSED OR DUPLICATED TRANSACTIONS, AND MISCATEGORIZATIONS. FORPROFIT DOES NOT WARRANT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY EXTRACTED DATA, CATEGORIZATION, OR GENERATED REPORT.

YOU ARE SOLELY RESPONSIBLE FOR REVIEWING AND VERIFYING ALL GENERATED REPORTS AND TRANSACTION CATEGORIZATIONS, AND THE UNDERLYING DATA, BEFORE RELYING ON THEM FOR ANY TAX, ACCOUNTING, FINANCIAL, BUSINESS, OR LEGAL PURPOSE.

You are solely responsible for the accuracy of your own financial records, filings, and decisions. ForProfit is not liable for any loss, tax consequence, penalty, or damage arising from your reliance on unverified output.

Not Professional Advice

ForProfit is a software tool. It is not an accountant, bookkeeper, CPA, tax preparer, or financial advisor, and it does not provide professional accounting, tax, bookkeeping, financial, or legal advice. The reports and information generated by the Service are not a substitute for professional advice and are not audited financial statements. Disputes

Indemnification

You shall indemnify, defend, and hold harmless ForProfit, its affiliates, and their respective officers, directors, managers, agents, employees, and contractors from any losses or liabilities, including reasonable attorneys' fees and costs, arising out of or related to: (1) your use of the Website or Services; (2) information or Submissions you provide; (3) your breach of these Terms; (4) your use of a third party's intellectual property; (5) any investigation of you by ForProfit or authorities; (6) your upload or use of third-party data without authorization; and (7) your violation of any applicable law.

Release

You hereby irrevocably release ForProfit, its affiliates, and their respective officers, directors, managers, agents, employees, and contractors from any and all claims, liabilities, damages, and losses, known or unknown, arising out of or in connection with information or Submissions provided by third parties to or through the Website or Services.

Dispute Resolution

Governing Law. Delaware law governs your use of the Website and Services and all disputes arising out of or related to the Website, the Services, these Terms, or the Privacy Policy, without regard to conflict-of-laws principles.

Informal Resolution. Before bringing any action (other than for preliminary injunctive relief), the parties shall first attempt in good faith to resolve any dispute by negotiation.

Venue. Any mediation, dispute, or court proceeding arising out of the Website, the Services, these Terms, or the Privacy Policy must be brought exclusively in the state or federal courts sitting in Dover, Delaware, and you and ForProfit consent to the personal jurisdiction of those courts and agree they are a convenient forum.

Time Period for Claims. Any claim arising out of these Terms or the Privacy Policy must be brought within one (1) year after the cause of action arises, or it will be permanently barred.

Fees and Costs. The prevailing party in any action under these Terms is entitled to recover reasonable legal fees and costs, in addition to any other relief.

Additional Provisions

Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and ForProfit regarding the Website and Services and supersede any prior agreements. You may also be subject to additional terms if you purchase certain Services.

Force Majeure. ForProfit is not liable for any failure or delay in performance caused by events beyond its reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, governmental action, power or internet failures, or failures of third-party service providers.

Waiver. Our failure to enforce any right or provision is not a waiver of that right or provision.

Severability. If any provision is found unenforceable, the remaining provisions remain in effect, construed without regard to the unenforceable provision.

Local Laws.The Website may not be appropriate or available in all locations. You access the Website on your own initiative and are responsible for compliance with applicable local laws. ForProfit may limit the Website's availability to any person, geographic area, or jurisdiction.

Relationship. These Terms do not create any partnership, joint venture, employment, agency, or franchise relationship.

Assignment. ForProfit may assign these Terms and delegate its obligations. You may not assign these Terms without our consent.
